  1. Agreement to Terms of Use. By creating a Job Seeker account on Illinois you agree to the Terms of Use for Job Seekers on Illinois.
  2. Terms and Terminations. Use of a Illinois account is solely for employment purposes. We truly respect the needs of our clients and job seekers - and have a mission to connect local employers and job seekers. We hope to execute that mission in an environment where neither our employers or our job seekers have the distraction of account usage that varies from this mission. Illinois retains the right to remove an account at any time. Accounts reported to be used for purposes other than seeking employment will be removed immediately. Termination for cause may include, but is not limited to:
    • Violation of these Terms of Use
    • Harassment toward individuals, companies, or other third parties
    • An expression of unwillingness to abide by these Terms of Use
  3. Prohibited Use. Illinois has compiled this list as a partial example of content that is prohibited on Illinois. This list is for illustration only and prohibited content is not limited to the examples below:
    • content that is offensive or incites harassment or advocates harassment of any group or individual
    • promotes or endorses false or misleading information
    • offensive language and/or displays or links to explicit material of any kind
    • provides instructional information about illegal activities
  4. Company Liability. Illinois does not make promises or guarantees regarding specific results or timeliness in meeting your employment objectives. Employers are solely responsible for the content of the job postings on Illinois sites. Illinois is not responsible for hiring practices or for employment decisions made by any employer using Illinois products or services.
  5. Links to other sites. The Illinois network of websites contains links to third party websites. These links are provided as a convenience and are not endorsed by Illinois. Illinois is not responsible for the content of third-party sites. If you decide to access a third-party web site through a link on Illinois, you do so at your own risk.

Terms of Use for Employers

  1. Agreement to Terms of Use. By registration, site usage, or by purchasing products or services from Illinois you agree to the Terms of Use for Employers on Illinois.
  2. Terms and Terminations. Use of account is solely for employment purposes. We truly respect the needs of our clients and job seekers - and have a mission to connect local employers and job seekers. We hope to execute that mission in an environment where neither our employers or our job seekers have the distraction of account usage that varies from this mission. Illinois retains the right to remove an account at any time. Accounts reported to be used for purposes other than employment will be removed immediately. Termination for cause may include, but is not limited to:
    • Violation of these Terms of Use or Terms and Conditions
    • Harassment toward individuals, companies, or other third parties
    • An expression of unwillingness to abide by these Terms of Use, Terms and Conditions or any other terms associated with specific account areas
  3. No Resale, Third Party or Unauthorized use. Any user transferring any rights and access (without written authorization from Illinois) to a third party will be removed. Account and login information are not to be shared. The management of account, job and login information is the responsibility of the employer - including, but not limited to the removal of former employees.
  4. Complaint Resolution. Complaints against employers using the site will be documented, and repeated complaints that are not resolved by specified time frames and conditions may result in account removal.
  5. Additional Terms. This Terms of Use is an expansion of the Illinois Terms and Conditions. This is not a replacement of those or any other agreed upon terms.
  6. Prohibited Content and Use.
    • 6. part 1, Use. The job posting and resume database of Illinois may be used only for lawful purposes by individuals seeking employment and career information and employers seeking employees. Illinois specifically prohibits any other use of the site, and all Users agree to do the following:
      • provide company information that is accurate and verifiable;
      • ensure job postings accurately describe the duties/responsibilities, compensation package, and/or the nature of the work involved in the position advertised;
      • ensure job postings accurately describe any deviations from common recruitment practices;
      • ensure job postings accurately reflect any necessary certifications or training requiring a fee, especially if the employer is the sole provider of the training;
      • promote their job accurately in regards to the duties related to the jobs (includes, but not limited to job categories, tags, job titles).
    • 6. part 2, Prohibited Content - general. Illinois has compiled this list of content as a partial example of content that is prohibited. This list is for illustration only and prohibited content is not limited to the examples below:
      • content that is offensive or incites harassment or advocates harassment of any group or individual
      • promotes or endorses false or misleading information
      • displays or links to explicit material of any kind
      • provides instructional information about illegal activities
    • 6. part 3, Prohibited Content - job postings. The following types of postings are not permitted:
      • Any job posting that involves illegal activities or that violates laws, including but not limited to laws relating to labor and employment, equal employment opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property;
      • Any posting that requires U.S. citizenship or lawful permanent residence in the U.S. as a condition of employment, unless otherwise required to comply by law or other regulation.
      • The use of any screening requirement or criterion in connection with a job posting where such requirement or criterion is not an actual and legal requirement of the posted job.
      • The posting of any franchise, multi-level marketing, pyramid scheme, "club membership", distributorship or sales representative agency arrangement; OR
      • The posting of any other business opportunity which requires an up front fee or periodic payment, pays commissions only (except for postings that make clear that the available job pays commission only and clearly describes the product or service that the job seeker would be selling, in which case such postings are permissible), or requires recruitment of other members, sub-distributors or sub-agents.
      If any prohibited posting(s) is detected, Illinois will remove such posting(s) and no refund will be given.
  7. Company liability. Illinois does not make promises or guarantees regarding specific results or timeliness in meeting your employment objectives. Employers are solely responsible for the content of the job postings on the Illinois sites. Illinois is not responsible for hiring practices or for employment decisions made by any employer using Illinois products or services. Illinois does not guarantee the accuracy, content, or the validity of job seeker provided content.
  8. Links to other sites. The Illinois Network of local employment websites contain links to third party websites. These links are provided as a convenience and are not endorsed by Illinois. Illinois is not responsible for the content of third-party sites. If you decide to access a third-party web site through a link on the site, you do so at your own risk.
  9. General. This Agreement shall be interpreted according to Arizona state law. The relationship between the parties shall be that of independent contractors, and no party shall be liable for the debts, accounts, or liabilities of another.

Terms and Conditions - Employers

Illinois provides technology services that allow Job Seekers to post resumes and apply for Jobs, and Employers and Recruiters to post job postings, advertise and search for candidates using the Internet through Illinois. The following are the terms and conditions for Illinois products and services.

  1. Content. It is understood by all parties that the content of the advertising being provided by Client to Illinois for inclusion in the Website, video, or technology service applications is the property of the Client, and becomes property of Illinois when posting on the website. In the event, that content provided by the Client to Illinois is not the property of the Client, the Client bears responsibility for any fines or fees associated with the use of that content on the Illinois Website, video or technology service applications. All content on Illinois must conform to Illinois standards for language, contextual standards, graphical standards, and promotional standards. Music licensed through Pond5.
  2. Pricing.
    • Website. Prices listed on the website are current and accurate on the day they are listed, and can be changed or modified at any time.
    • Written Proposals. All prices quoted by Illinois sales staff in a written proposal will remain in effect for a 30-day period from the date the proposal is presented.
  3. Credit Policy. Illinois offers credit to all clients who post jobs with Illinois. A credit limit may be reduced if the Client has a poor credit rating, an unreliable payment history with us, one or more past due bills or cannot provide adequate company information to establish credit history. Late payment results in late fees of $10, finance charges of 1.5% monthly, reduced credit limits, and/or revocation of credit privileges.
  4. Terms.
    • All billings will be due upon receipt.
    • The entire amount billed for standard postings is due on the date the related job postings are activated on the website. A posting may be taken down earlier than the 28 day posting period, however once the posting has "gone live" full payment is required.
    • Bundle purchases must be paid for up-front. Job postings are available for use within 52 weeks of the date of purchase and any postings which are not used are not refundable.
    • Subscriptions allow for postings to be live on the website at any point in time during the term of the agreement. Any postings which are not used are non-refundable.
    • Subscriptions for all other products and services provide use and/or access during the term and are not refundable.
    • Video products will be billed in accordance with the specific proposal or, if unstated, upon product delivery.
  5. Accounting. Illinois shall provide Client with an accurate accounting of the number of job postings Client generated in the Website. In the case of other products or services, Illinois shall provide at the Client's request, an accurate synopsis of activity of the respective products and/or services used or provided. Illinois and Client shall each maintain accurate accounts of its operations to effectively manage and execute this Agreement and shall, in the case of any discrepancies, provide a verified statement of operations to the requesting party within fifteen (15) days following each month. Each party reserves the right, upon reasonable notice and at its own expense, to audit the books and records of the other party to verify the accuracy of fees owned pursuant to this Agreement.
  6. Intellectual Property. Client acknowledges that Illinois is the sole owner of Illinois trade names, service marks, and logos (Illinois Marks). Upon the termination of this Agreement, all rights of Client to use such Illinois Marks shall cease and Client shall immediately terminate all use of such Illinois Marks. Client further agrees that other than the limited license to use the Illinois Marks, set forth above, no other intellectual property of any kind or nature has been conveyed in connection with this Agreement. Client agrees and gives Illinois the right to utilize Client's trade names, service marks, and logos (Client Marks) in Illinois advertising and websites. All uses of Client Marks will be approved by a designated Client contact before public use of such marks. Upon the termination of this Agreement, all rights of Illinois to use such Client Marks shall cease and Illinois shall immediately terminate all use of such Client Marks.
  7. Assignment. Client shall not assign or transfer this Agreement without the prior written consent of Illinois, which consent shall not be unreasonably withheld. Illinois shall not assign or transfer this Agreement without the prior written consent of Client, which consent shall not be unreasonably withheld, unless such transfer is in connection with the sale of all or substantially all of the assets of Illinois, in which case Client's consent is not required.
  8. Miscellaneous. This Agreement shall be interpreted according to Arizona State law. The relationship between the parties shall be that of independent contractors, and no party shall be liable for the debts, accounts, or liabilities of another.
  9. Invoicing Procedures. The invoicing of Client is calculated on a monthly agreement set forth in a written proposal. Keeping job postings and/or site content current and up to date is the responsibility of the Client.
  10. Program Modifications. Client agrees to accept the Website's current format and base level of functionality. Illinois reserves the right to upgrade and enhance that functionality at its sole discretion.
  11. Support. Illinois will consult with the Client and upon request by Client for a reasonable amount of time by telephone during normal business hours to assist the Client with the use of product provided by Illinois. Normal business hours are defined as Monday through Friday, 8:00 AM to 5:00 PM Arizona time, excluding major holidays observed by Illinois.
  12. Video Rights, Title and Ownership. The final video created by Illinois in the course of performing the services are the property of the Client in accordance with this Agreement. Intellectual property, trade names, service marks, logos and or photos or video provided by the Client to Illinois are the property of the Client and may be used by Illinois to deliver the final video product to the Client. Illinois shall have use of this content and intellectual property soley for the use of producing the final video project. Illinois will maintain ownership over b-roll and other footage taken during the production process, but will limit use of this material only for future projects for the Client, at the Client's choosing.
  13. Video Hosting. Illinois hosts the video projects on third party websites and servers. As a result, Illinois cannot guarantee that these websites and servers will always be available or accurate. Under no circumstances shall Illinois and its owners, officers, directors, agents, employees, successors, or assignees be liable for any consequential damages of any sort including, but not limited to, loss of goodwill or potential business as a result of a video project not being accurate, not being viewable at a particular time, or not available at all.
  14. Site Development and Hosting. After product expiration the site will be deactivated. No source code will be transferred to the client. If needed, a static version of the main page can be provided, which will include any web graphics used but will not be a functioning website. No raw graphic files or code will be provided.
  15. Maintenance of Software and Equipment. Illinois shall be responsible for the maintenance of the software, servers and other equipment relating to the Website. Illinois shall reimburse Client on a pro-rata basis for any unscheduled downtime of the Illinois website in any specific week if that downtime exceeds 24 hours in that week.
  16. Termination. Failure of Client to render any agreed payment to Illinois on a timely basis shall entitle Illinois to terminate the Agreement with Client upon thirty (30) days notice. Illinois also maintains the right to terminate the Agreement with client immediately upon violation of the terms and conditions or upon violation of the terms of use, such notice will be given in writing. Illinois Client may terminate this Agreement within thirty (30) days of written notice if Illinois has failed to keep the Website or applications up and running for a period exceeding 14 days.
  17. Privacy Policy. Illinois's privacy policy can be viewed at http://www.jobing.com/privacy.asp
  18. Indemnity. Definition of "Claim": For purposes of this Agreement, the term "Claim" shall mean any claim, action, suit, proceeding or litigation and any loss, deficiency, damages, liabilities, costs and expenses including, without limitation, reasonable attorneys' fees and all related costs and expenses, to be paid to a third party or otherwise incurred in connection with the defense of any claim, action, suit, proceeding or litigation involving a third party.
  19. Severability. In the event that any portion of this Agreement is held to be unenforceable, the unenforceable portion shall be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties and the remainder of the provisions shall remain in full force and effect.
  20. Miscellaneous. This Agreement constitutes the entire agreement and understanding between the parties with respect to the subject matter of this Agreement and supersedes and replaces any and all prior written or verbal agreements. Illinois's failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between Client and Illinois nor trade practice shall act to modify any provision of this Agreement. Client understands that he or she represents his or her organization when agreeing to the terms of this Agreement.
